These Terms of Service ("Terms") govern your use of the Sparkwright.ai service ("Service") provided by Sparkwright AI LLC ("Sparkwright," "we," "us," or "our"). By using our Service, you agree to these Terms.

1. Service Description

Sparkwright provides AI-powered virtual receptionist and appointment scheduling services for home service businesses. Our Service includes:

• AI receptionist that answers phone calls on your behalf
• Appointment scheduling integrated with your Google Calendar
• SMS notifications and reminders to your customers
• Emergency call handling and message forwarding
• Business dashboard for managing your account

2. Account Registration

To use our Service, you must:

• Provide accurate and complete registration information
• Be at least 18 years old
• Have authority to bind your business to these Terms
• Maintain the security of your account credentials

You are responsible for all activity that occurs under your account.

3. Acceptable Use

You agree to use the Service only for lawful purposes. You will not:

• Use the Service for any illegal or unauthorized purpose
• Violate any laws in your jurisdiction
• Transmit spam, harassment, or abusive content
• Attempt to interfere with or disrupt the Service
• Impersonate another person or business
• Use the Service to collect information about others without consent

4. Payment Terms

By subscribing to our Service:

• You agree to pay all fees associated with your selected plan
• Fees are billed monthly in advance
• All payments are processed securely through Stripe
• Fees are non-refundable except as required by law
• We may change pricing with 30 days notice

5. Third-Party Integrations

Our Service integrates with third-party services including Google Calendar. By connecting these services:

• You authorize us to access and use data as described in our Privacy Policy
• You agree to comply with the terms of those third-party services
• You can disconnect integrations at any time through your dashboard

6. SMS Communications

Our Service sends SMS messages to your customers for appointment confirmations and reminders. You agree that:

• You have obtained proper consent from your customers to receive SMS messages
• You will comply with all applicable SMS/telemarketing laws (TCPA, etc.)
• You are responsible for any SMS-related compliance issues arising from your use of the Service

7. Intellectual Property

The Service, including all software, design, and content, is owned by Sparkwright AI LLC. You retain ownership of your business data and content you provide to us.

8. Disclaimer of Warranties

While we strive for high availability and accuracy, AI systems may occasionally make errors. You should review appointments and communications for accuracy.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPARKWRIGHT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Sparkwright and its officers, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

11. Termination

Either party may terminate this agreement at any time:

• You may cancel your subscription through your dashboard or by contacting us
• We may suspend or terminate your account for violation of these Terms
• Upon termination, your access to the Service will end
• Data deletion follows our Privacy Policy

12. Changes to Terms

We may update these Terms from time to time. We will notify you of significant changes by email or through the Service. Continued use after changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict of law principles.

14. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court.
